Service Level Agreement
This agreement is made on the ________ day of _________ 2025 between
MAXPAR INVESTMENTS LTD is a company registered under the laws of the Republic of Kenya of Postal Address 78664-00507 Nairobi (hereinafter referred to as the “Company”) which expression shall where the context so admits shall include its successors in title and assigns) of one part.
And
The Service Provider on the other part.
Provision of the Ajira online marketplace platform;
You confirm that you understand the company’s role is to provide an online digital marketplace platform through the Ajira Biashara online platform which connects various opportunities which you are free to choose at your discretion. That you should carry out due diligence before and during the transactions of any kind and that the company is not liable for any loss which you may suffer.
- Subscription and Fees
The Service Provider hereby accepts; and thereby subscribes, to the Ajira Online Platform for purposes of among others, (i) being listed and marketed on the Ajira Online Platform; (ii) being linked or connected to a Client: (iii) and receiving other ancillary support services.
You must always remain actively subscribed in order for you to enjoy this service among other services which may be made available from time to time.
The Company shall charge the following fees with reference to the subscription and related engagements with the client(s) and the company:
- Kenya Shillings 1,000 monthly payable upon listing of the Service Provider.
- Commission of 10% of the service fees charged by the Service Provider to the client.
- Elimika (training) fees – to be communicated.
- Marketing (promotional services) boosting.
The Agreement shall run for an unlimited duration until otherwise terminated by either Party.
- Scope of Work
The Service Provider shall deliver, to the clients, all those goods and services as shall be applicable and detailed in the relevant quotations/invoices as agreed between the Service Provider and the clients.
- Performance of the contract
- It is understood that the Service Provider under the terms of this Agreement is not the agent for the Company and that the Service Provider has been contracted for the performance of the services specified in this agreement or any such agreement/quotation/invoice entered into with the client, courtesy of linkage by the Company.
- You agree that you shall faithfully perform the terms of the services delivery diligently to the satisfaction of your client.
- It is expected and understood that in performing its obligations under this agreement, the Service Provider will exercise that degree of skill and care exercised by competent members of a similar trade.
- The Service Provider shall be responsible for the direct acts and omissions of any person whose services it makes use of for the performance of its obligations under this Agreement or further related agreements.
- No assignment or subcontracting
The Service provider will not assign any of its rights or duties under this agreement without the consent of the Company.
- Company’s obligations
- The Company shall provide the Ajira Biashara online platform for purposes of listing, curating relevant information and content, and marketing the Service Provider’s services.
- The Company shall further provide the linkage and connection for the Service Provider to the relevant clients through the online platform or through any such other arrangements as shall be determined from time to time (the marketplace).
- The Company shall provide the service provider ancillary support services including:
- Receiving and processing the fees paid by the clients in respect of services provided;
- Basic customer care and training at a fee; and
- General advertising advisory.
- Force Majeure
Neither party shall be liable for any failure to fulfill any term of this agreement, save for payment of money, if and to the extent that such fulfillment is delayed, interfered with, or prevented by circumstances that are beyond the control of such party including but not limited to civil unrest, terrorist acts, acts of God or Government action.
- Limitation of liability
The period of limitation of liability under this agreement will be in accordance with the Limitation of Actions Act, Cap. 22 of the Laws of Kenya.
No party shall during or after the termination of this agreement, divulge or allow to be divulged to any person confidential information relating to this agreement or the operation, sources, payment terms, and the business or affairs of the other party unless the said person has signed a similar undertaking of confidentiality approved by the other party.
- Termination
Either party may terminate this Agreement by giving seven (7) days’ written notice provided that in the event of termination, the Company shall pay the fees due and accrued to the Service Provider with respect to uncontested services provided.
- Proper law and jurisdiction
This agreement shall be governed by Kenyan law and shall be deemed to have been made in Kenya.
- Entire agreement
This agreement contains the complete understanding between the parties and supersedes, replaces, and cancels all prior arrangements or understandings whether written or oral, pertaining to the provision of the services outlined in this agreement and may not be varied except by an instrument in writing signed by the parties to this agreement.
If any legislation is compulsorily applicable to any business undertaken, this Agreement shall, as regards to such business, be read as subject to such legislation, and if any part of these conditions be repugnant to such legislation to any extent such part shall as regards such business be overridden to that extent and no further.
- Dispute Resolution
Should any dispute arise between the Parties hereto with regard to the interpretation, rights, obligations and/or implementation of any one or more of the provisions of this Agreement, the Parties to such dispute shall in the first instance attempt to resolve such dispute by amicable negotiation and mediation which shall be concluded within seven (7) days of declaration of such dispute. If the parties are unable to resolve the dispute, they are at liberty to have the dispute resolved by a court of competent jurisdiction.
